چکیده
در معاهدات یا موافقتنامههای سرمایهگذاری دولت میزبان متعهد میگردد تا حمایتهای لازم از سرمایهگذار و سرمایهگذاری به عمل آورده و از هرگونه اقدامی که مغایر با مفاد معاهدۀ سرمایهگذاری است، خودداری نماید. با این وجود، بعضاً، حفاظت از منافع و نظم عمومی جامعه ایجاب مینماید دولت میزبان دست به اقداماتی زند که مغایر با مفاد معاهده قلمداد میگردد. این اقدامات مغایر چنانچه در چهارچوب «شرط اقدامات منعنشده» باشد مجاز؛ در غیر این صورت موجب مسئولیت دولت خواهد شد. مهمترین مبنای توسل به این شرط، تضمین حق نظارتی دولت میزبان بر اقدامات مرتبط با سرمایهگذاری خارجی است. تشویق و ارتقای سرمایهگذاری نباید به هزینۀ نادیده گرفتن منافع عمومی داخلی صورت پذیرد. مهمترین یافتههای پژوهش حاکی از آن است که دو چالش اساسی در خصوص اعمال این شرط توسط دولتهای میزبان وجود دارد. اولین و مهمترین چالش، خودقضاوتی دولت میزبان در عمل به شرط است؛ بدان معنا که دولت به صورت یکطرفه خود در خصوص مشروعیت انجام اقدامات مغایر عهدنامه تصمیم بگیرد. نادیده انگاشتن انتظارات مشروع سرمایهگذاران به هنگام اعمال این شرط چالش مهم دیگر است. اختیار دولت در عمل به این شرط مطلق نبوده بلکه قابل نظارت است. دولت باید به نحو غیرتبعیضآمیز و غیرخودسرانه مبادرت به اعمال این شرط نماید و همواره مکلف به رعایت حسننیت نسبت به طرف مقابل است. در آراء صادره از سوی مراجع حل اختلاف بینالمللی هرچند وحدت رویهای وجود ندارد؛ با وجود این، رویکرد غالب مراجع، جبران خسارات سرمایهگذار متناسب با ضرر وارده به وی است.

Governments have recently incorporated foreign investment treaties into a so-called “Non-Precluded Measure Clause ", which permits action contrary to the provisions of the treaty in cases where the protection of essential interests is necessary. In this descriptive-analytical method, this article outlines the most important challenges and explains the ways to eliminate or reduce them. The most important findings of the study indicate that the government's authority in practice was not absolute, but observable. The host government must impartially resort to this clause and is always obliged to respect the good faith towards another party. Despite the disagreement expressed in the liability of the host States, the dominant approach of dispute settlement tribunals is to compensate the investor in proportion to the loss incurred by him.
